On October 7, 2017, Royal Decree-Law 15/2017, of 6 October, of urgent measures on the mobility of economic operators within the national territory (“RDL 1572017“) was published and entered into force. pursuant to which article 285 (2) of the consolidated text of the Capital Companies Act, approved by Royal Legislative Decree 1/2010, of 2 July, is amended by which the Spanish legislator seeks to give a clear wording to this article so that, as stated in the Statement of Reasons for RDL 15/2017, there is no doubt that the general rule is that the change of registered office within the national territory is a competence that originally corresponds to the administrative body of the company and that only if the shareholders consider that such rule should be modified should they establish it in the bylaws, expressly denying this competence to the administrative body.
